Avore Purchase Terms and Conditions
These Purchase Terms and Conditions (“Terms”) govern the purchase of the electric two-wheeler vehicle and associated products (“Vehicle”) from the Company (“We”, “Us”, or “Our”) or its authorized retail partners. By placing a booking or accepting these Terms, You enter into a legally binding agreement enforceable under the Information Technology Act, 2000.

1. Eligibility and Booking
- Eligibility: You represent that You are at least 18 years of age and a resident of India.
- Booking: You must place a booking by paying a non-interest-bearing security deposit (“Booking Amount”).
- Order Acceptance: Each order constitutes an offer to purchase; We reserve the right to refuse or cancel any order at Our sole discretion, for reasons including product non-availability or pricing errors, without liability.
2. Payments and Financing
- Final Price: Once the Vehicle is ready, We will request payment of the Final Price, which includes all applicable taxes as of the invoicing date.
- Payment Security: While payments are processed through secure gateways, We assume no liability for unauthorized interceptions, hacking, or fraud occurring during the internet transmission of your financial data.
- Third-Party Financing: If You opt for financing, We may assist by redirecting You to a third-party facilitator, but the loan agreement remains solely between You and the financial institution. We have no control over the approval or rejection of Your loan application.
3. Price of the SEMPL Vehicle
- The Price displayed while booking on the website is only the ex-showroom price of the vehicle. The On-Road price is subject to insurance charges, registration charges, accessories charges etc. The final Vehicle price is the prevailing price as applicable on the date of delivery by paying the balance amount excluding the booking amount. The balance sale price (i.e. balance sale consideration) shall be paid directly to the dealer(s) notified by company.
- Ex-showroom price is indicative and may vary at the time of purchase. Ex-showroom price is inclusive of GST. Additional accessories need to be purchased at the dealership. The On-Road price is subject to insurance charges, registration charges, accessories charges etc. This will be paid by You at the dealership. You may request for receipt for the same from the dealership.
- Please take note that company is only receiving the Booking Amount as a facilitator to promote the sale between the SEMPL dealer and You. The actual transaction of the sale is a contract between You and the Dealer to whom you shall be making the payment of balance sale price.
- SEMPL shall not be responsible for any non-receipt of the Booking Amount due to technical or other reasons in the payment gateway or banking network issues.
4. Registration and Insurance
- RTO Process: We or Our partners will assist with Regional Transport Office (RTO) registration at Your cost. Once registration fees are paid, You cannot request changes to the vehicle's color, model, or specifications.
- Insurance: You are responsible for arranging insurance. If purchased through Our platform, the transaction is governed by the insurer's policies; We are not responsible for claim servicing or policy issuance.
5. Vehicle Delivery
Vehicle will be delivered to you by the selected dealer after clearance of all the payment dues by You.
6. Cancellation/Refund
- Refunds on booking amounts will be made within 60 days of the date of cancellation.
- This amount is refundable till the point of making the full payment for purchasing the vehicle.
- Please note that once the full payment for the vehicle, including the accessories, has been made, the sale shall be deemed as complete, and cancellation or claim for any refund amount will not be possible
- You can initiate the cancellation request for any vehicle booked online by visiting Avore.in. No cancellation shall be permitted at the dealership.
- If the cancellation request is raised beyond 90 days of the date of booking, then You have to additionally send an email to info@avore.in containing booking information along with Your bank account number, Bank and Branch IFSC code, a copy of cancelled cheque leaf which shows your name / Bank account number and IFSC code.
- After the cancellation request has been raised, it cannot be revoked back.
- You will not be charged with any cancellation charges for online booked vehicles
- Our refund request will be initiated within 48 hours of your cancelled booking. This will only comprise the money that was paid to SEMPL during the online booking procedure, excluding any appropriate cancellation fee.
- The issuer bank typically processes the refund within 10 to 15 business days after the refund was initiated.
- You will receive your refund in the same payment source that has been used to make your online vehicle booking. There are no provisions made for any cash refunds.
7. Software Updates and Carbon Credits
- Software/OTA Updates: You consent to automatic wireless firmware and software updates. These updates are essential for optimal functioning and are designed to protect and improve battery longevity.
- Carbon Credits: By agreeing to these Terms, You acknowledge that all carbon credits generated during the motorcycle's production and usage shall belong exclusively to the Company.
8. Assumption of Risk and Safety
- Inherent Dangers: Riding an electric motorcycle involves inherent risks of serious bodily injury, disability, or death. You voluntarily assume all risks associated with the operation of the Vehicle, whether foreseeable or not. You agree to exercise due care and comply with all safety instructions.
- User Manual: You must operate the Vehicle strictly according to the User Manual. Failure to follow maintenance procedures will void Your warranty and may cause damage for which We are not liable.
9. Limitation of Liability
- Aggregate Cap: Under no circumstances will Our cumulative liability for direct damages exceed the total purchase price paid for the Vehicle.
- Exclusion of Damages: In no event shall We be liable for any special, incidental, indirect, or consequential damages, including loss of profits, loss of data, or emotional distress.
10. Indemnification
- You agree to defend, indemnify, and hold harmless the Company and its employees from any claims, losses, or expenses (including attorney fees) arising from Your use of the Vehicle, Your breach of these Terms, or Your violation of any third-party rights.
11. Dispute Resolution
- Mediation: Parties shall first attempt to settle any dispute through mutual good-faith discussions within 30 to 60 days.
- Arbitration/Jurisdiction: Unresolved disputes shall be subject to the exclusive jurisdiction of the courts in Gandhinagar (Gujarat). Disputes may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.
12. Force Majeure
- We shall not be held responsible for any delay or failure to perform Our obligations if such delay arises from causes beyond Our reasonable control, including acts of God, epidemics, or government orders.
13. Assignment or Transfer
You acknowledge and agree that Your booking is for delivery of Vehicle only to You and You will not transfer or assign rights granted to You under these Terms to any other third party.
14. Collection of Information
We may require certain information and documents from You for processing Your booking, complying with statutory requirements. You represent and warrant that all such information and documents will be true, complete and accurate. You will promptly notify Us of any change in the information provided to allow Us to update Our records. All collection, storage, use and disclosure of any information provided by You will be in accordance with Our Privacy Policy available at https//www.avore.in/privacy-policy
15. Waitlist Registration and Early Access
- Purpose: The waitlist is intended to allow users to express interest in Avore and receive early access invitations, product updates, and launch-related communications. Joining the waitlist does not constitute a purchase, booking, or contractual right to any product or service.
- No Guarantee of Access
Enrollment on the waitlist shall not be construed as granting any priority, preference, or entitlement in the order of allocation or delivery of the vehicle. The determination of allocation sequence shall remain solely at the discretion of the Company.
Enrollment in the Waitlist Program:
- (a) does not guarantee early access, product availability, or allocation;
- (b) does not establish any priority rights unless explicitly communicated by the Company;
- (c) access may be granted in phases at the sole discretion of the Company.
- Communication Consent: By joining the Program, You expressly consent to receive communications from the Company, including but not limited to:
- (a) product updates and announcements;
- (b) early access invitations;
- (c) promotional and marketing communications.
You may withdraw such consent at any time through the unsubscribe mechanism provided, subject to applicable law and the Company's Privacy Policy.
